Welcome to Spekmi! These Terms of Service (“Terms”) govern your use of Spekmi's artificial intelligence products and services, including our platform, applications, and APIs (collectively, the “Spekmi Products”).

1.1 Who We Are and How to Reach Us

Spekmi, operated by Business Solutions Consulting Group, is a SASU (société par actions simplifiée unipersonnelle) incorporated in France, under registration number 978 043 586 R.C.S. Paris (SIREN: 978 043 586, SIRET: 978 043 586 00012), VAT number FR80978043586, with share capital of EUR 5,000.00, having its registered offices at 90 rue de Rivoli, 75004 Paris, France (“Spekmi,” “we,” “us,” or “our”).

1.2 Key Points

Before reading our terms, here are important points to keep in mind:

• As between you and Spekmi, you own all rights to your Outputs, but please be aware they may sometimes be inaccurate. Always verify information before relying on Outputs.
• You must ensure you have necessary third-party permissions before using any Input with any Spekmi Product.
• Using Spekmi Products to generate Outputs that are illegal or that infringe or otherwise violate third-party rights is prohibited. See our Usage Policy for details.

1.3 Agreement

By clicking “I agree” (or any similar button or checkbox) when creating a Spekmi account or by accessing or using any Spekmi Products, you are agreeing to these Terms and our Usage Policy, which constitute a binding agreement between you and Spekmi.

1.4 Accessing the Spekmi Products

Age Requirements. You must be at least thirteen (13) years old to use the Spekmi Products. Minors must have parental or legal guardian permission to create a Spekmi account. We will delete any account found to violate these requirements.

Spekmi Accounts. Some Spekmi Products require an account. You must:

• Provide complete and accurate account information
• Promptly update your account if information changes
• Use your account for individual use only (no sharing)
• Not create multiple accounts to bypass restrictions
• Not share account credentials or API keys with third parties
• Promptly notify us of unauthorized access via support@spekmi.com

1.5 Subscribing to Paid Spekmi Products

Price. Applicable pricing (including taxes) for each paid Spekmi Product and accepted payment methods are indicated on our pricing page. Prices include applicable Value Added Tax (VAT).

Subscription Process. To use paid Spekmi Products, you must:

1. Create a Spekmi account
2. Select your desired subscription plan
3. Accept these Terms
4. Submit your order by clicking “Pay Now” or similar button

Payment. You must provide complete and accurate billing information and use a valid payment method. For subscriptions, we automatically charge your payment method on each renewal until you cancel.

Cancellation. You can cancel your subscription at any time via account settings or Help Center. Payments are non-refundable except where required by law or under withdrawal rights.

Changes. We may change prices with at least thirty (30) days' notice via email. Price increases take effect on the next renewal following the notice period.

1.6 Using Spekmi Products

Spekmi Products. We own all right, title, and interest in the Spekmi Products. We grant you a non-exclusive right to access and use the Spekmi Products solely in your personal capacity in compliance with these Terms, applicable laws, and any posted additional terms.

Restrictions. You will not, and will not permit others to:

• Use Spekmi Products or Your Data in violation of applicable laws, these Terms, or our Usage Policy
• Infringe, misappropriate, or violate third-party rights, including intellectual property or privacy rights
• Send personal information of children under 13 or applicable digital consent age
• Reverse engineer, decompile, or attempt to discover source code or underlying components
• Compromise security or functionality of Spekmi Products
• Extract content except as permitted through Spekmi Products
• Buy, sell, or transfer API keys or accounts with third parties
• Integrate Spekmi Products with your own products for third parties without authorization

Usage Limitations. Your use may be subject to rate limits based on your subscription plan. Exceeding limits will result in temporary suspension until reset or upgrade.

1.7 Your Data

Your Data. You and authorized users may provide input (“Input”) and receive output (“Output”). Collectively these constitute “Your Data.” Subject to applicable law, as between you and Spekmi:

• You retain all ownership rights in Input
• You own all Output
• We assign to you all rights we may have in Output

Responsibility for Your Data. You are responsible for:

• All Inputs and represent you have necessary rights, licenses, and permissions
• All use of Outputs and evaluating their accuracy
• Not representing that Output was generated by a human

How We Use Your Data. We do not use Your Data to train our AI models except:

• When you use free subscriptions and have not opted out of training
• When you provide Feedback to us
• When Your Data is flagged for moderation or reported as prohibited content

Similarity of Output. Due to the nature of Spekmi Products, your Output may be similar or identical to Output generated for other users. We provide no guarantees that Output will be unique.

Output Accuracy. Spekmi Products are based on large language models (LLMs), which are continually evolving. Outputs may occasionally be inaccurate. Spekmi Products are not authoritative or infallible sources of information. You should not rely on Output as the sole source of truth or as a substitute for professional advice (legal, tax, medical, etc.). Always verify reliability, accuracy, and completeness before relying on Output.

1.8 Warranties and Disclaimer

Our Warranties. We warrant that, when used in accordance with these Terms, Spekmi Products will conform in all material respects with documentation we provide or make publicly available.

Your Warranties. You warrant that (a) you have authority to enter into and accept these Terms, and (b) you will use Spekmi Products in accordance with applicable laws and these Terms.

Disclaimer. EXCEPT FOR WARRANTIES IN THIS SECTION AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, SPEKMI PRODUCTS ARE PROVIDED “AS IS” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE MAKE NO REPRESENTATIONS THAT USE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS WILL BE ACCURATE.

1.9 Liability

Our liability for any loss or damage in connection with these Terms or use of Spekmi Products is limited to losses that are a foreseeable result of our breach of these Terms or our negligence. We are not liable for losses caused by events beyond our reasonable control. We do not exclude or limit liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

1.10 Withdrawal Rights

Consumer users have the right to cancel subscriptions within fourteen (14) days from subscription date (the “Withdrawal Period”). To exercise this right, notify us before the period expires via account settings or support@spekmi.com. If you cancel during the Withdrawal Period, we will refund all payments within fourteen (14) days using the same payment method.

1.11 Term, Suspension, and Termination

Term. These Terms commence on the earlier of (a) first use of Spekmi Products or (b) acceptance of these Terms, and continue until terminated.

Termination or Suspension. We may suspend or terminate your account if:

• You breach these Terms or our policies
• You fail to pay fees when due
• Required by applicable law
• Your continued use could cause risk or harm

Requests to Terminate. You can delete your account at any time via account settings or Help Center.

Effects of Termination. Prior to termination, pay all outstanding fees. Export Your Data before account termination as it may not be accessible afterward.

1.12 Privacy

We process your personal data as a data controller for providing Spekmi Products and managing your relationship with us. Our Privacy Policy explains how we collect and use personal information.

1.13 Changes to These Terms

We may update these Terms from time to time. We will give at least thirty (30) days advance notice of material changes via email or in-product notification. If you do not agree, you can terminate these Terms but must stop using Spekmi Products when changes take effect.

1.14 Governing Law and Dispute Resolution

Governing Law. These Terms are governed by France law.

Dispute Resolution. Any disputes will be resolved through the competent courts of Paris, France.

1.15 General Provisions

• Assignment. You may not assign rights or obligations under these Terms.
• Force Majeure. Neither party is liable for delay or failure due to events beyond reasonable control.
• No Third-Party Rights. There are no third-party beneficiaries to these Terms.
• Severability. If any provision is deemed invalid, remaining provisions remain in full force.
• Entire Agreement. These Terms constitute the entire agreement between you and Spekmi concerning use of Spekmi Products.
